Confidentiality of your metadata is important to us. Lay It Up For Me! Terms and Conditions outline usage Terms and Conditions of Lay It Up For Me! to expedite the post workflow while maintaining the highest level of confidentiality.

Your content and information

Lay It Up For Me! acknowledges ownership of metadata processed through Lay It Up For Me! is owned by the Licensee.

1. All content uploaded to Lay It Up For Me! is retained by Lay It Up For Me! for 10 days** after processing and returning a revised file for technical purposes.
2. This content is not available to other Licensees.
3. The only information available to Licensee of Lay It Up For Me! is their own account details and details of their uploaded content.
4. Any feedback provided to Lay It Up For Me! by a Licensee may be considered and utilized without obligation to compensate the Licensee. It is at a Licensee’s discretion to offer feedback or not, but all feedback will become the intellectual property of Lay It Up For Me!
5. Licensee information including subscription pricing must be kept confidential and not shared with any third party.

**File retention: original and processed AAF files will be held by Lay It Up For Me! for 10 days from the date of the original upload. After this time, both the original and processed AAFs will be deleted permanently. Lay It Up For Me! is not responsible for any dispute after the material has been purged and accepts no liability for issues caused by the original or processed AAF after they are purged. These files are permanently deleted for internal reasons, as well as to ensure the security and confidentiality of client material. After purging, both the original and processed AAF files will no longer be downloadable from the Licensee account.

Safety

Security of information is maintained through the following commitments by the Licensee under these Terms and Conditions:

1. You will not collect Licensee content or information, or otherwise access Lay It Up For Me! using automated means such as harvesting bots, robots, spiders or scrapers.

2. You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on Lay It Up For Me!
3. You will not upload viruses, malware or any malicious code.
4. You will not solicit login information or access an account that does not explicitly belong to you or the organization that you currently represent.
5. You will not use Lay It Up For Me! to conduct any business considered unlawful, misleading, malicious or discriminatory.
6. You will not engage in misconduct that could disable, overburden, or impair the proper functioning of Lay It Up For Me! , such as a denial of service attack.
7. You will not encourage any violations of this Statement.

Lay It Up For Me! reserves the right to take action if any of the above are considered or implemented, including deactivation of account(s) and alerting the appropriate domestic and/or international authorities.

Registration and Account Security

Licensee are required to register with details including their real name and valid email address, as well as other details entered in truth. In addition:

1. You will not provide any false personal information on Lay It Up For Me! , or create an account for anyone other than yourself or the organization you currently represent.
2. You will keep your contact details accurate and up-to-date.
3. You will not share your Licensee details, including login and password, let anyone else access your account, or disclose any pertinent information that jeopardizes the security of your account.
4. You will not transfer your account to anyone without Lay It Up For Me! written acknowledgement and permission.
5. Closing an account can be completed by emailing Lay It Up For Me! All License Agreement Terms must be fulfilled at time of closure i.e. outstanding payments left in the contract must be paid in full. Email info@groupitforme.com with request and reason for leaving (marketing purposes).

Should any information be accessed illegally by a third party by negligence or otherwise, Lay It Up For Me! is not liable for any loss, damage, costs, liability or other form of contribution. If you suspect that someone has unauthorized access to, or has made unauthorized use of, any of your personal information, please contact us as soon as possible.

Protecting Other People’s Rights

Lay It Up For Me! expects that all Licensee will act respectfully towards each other and that Licensee will respect Lay It Up For Me! policies. In addition:

1. Lay It Up For Me! reserves the right to remove any content or information that is posted on this site or on any of our social media sites that we deem violates the above Statement.
2. Lay It Up For Me! takes no responsibility for the disputes that arise from trades initiated with its forum and reserves the right to remove content we deem violates the above Statement.
3. You will not use Lay It Up For Me! copyrights or trademarks (including Lay It Up For Me! and/or Lay It Up For Me! logos) or any similar titles or graphics without our explicit written consent.
4. Any collection of information from Licensee must be obtained with their consent. It must be made clear that Lay It Up For Me! is not soliciting this information and that any information will be in line with your posted Privacy Policy, including how you intend to use the information.

Technical specifications

Lay It Up For Me! provides a specific service to expedite the pre-sync process in scripted and non-scripted post-production environments. In addition:

• You will use Lay It Up For Me! specifically as intended.
• You will allow Lay It Up For Me! to perform functions without interference.
• Lay It Up For Me! is the sole owner of this intellectual property and any attempts to violate or reverse engineer Lay It Up For Me! IP or software is a strict violation of Terms and Conditions which will result in immediate account deactivation and immediate notification of the violation to the appropriate domestic and/or international authorities.
• Lay It Up For Me! does not require any media (including any video or audio clips) to be uploaded, only an AAF file containing metadata only.

Monitoring and Removing Information

Lay It Up For Me! will retain the original uploaded files for technical purposes around debugging, troubleshooting, and the like. Lay It Up For Me! acknowledges that confidentiality of content is of upmost importance and will undertake tasks in such a manner that preserves this confidentiality. If the Licensee would like specific uploaded content to be removed, they must issue a Support Ticket through their account or email Lay It Up For Me! at info@groupitforme.com.

Indemnities

Lay It Up For Me! is not responsible for the content of any material uploaded into Lay It Up For Me! and you indemnify Lay It Up For Me! against any and all liabilities, claims, losses or expenses arising by reason of such material being:

• an infringement of any intellectual property rights (including copyright) of any third party;
• defamatory;
• in breach of any trade practices or other consumer protection legislation; or
• otherwise an infringement of law or any rights of any third party; or otherwise arising in respect of such material.

Without limiting the generality of the prohibition on modifications, you will indemnify Lay It Up For Me! against any liabilities, claims, losses or expenses arising by reason of such modifications being:

• an infringement of any intellectual property rights (including copyright) of any third party; or
• otherwise an infringement of law or any rights of any third party.

Scheduled or unscheduled maintenance (server, website updates and other technical related issues) can be undertaken by Lay It Up For Me! at any given time. Lay It Up For Me! will endeavor to post advanced notice in regards to any disruption to service, and the Licensee will indemnify Lay It Up For Me! against any liabilities, claims, losses or expenses arising by reason of such maintenance, regardless of whether notice was given or not.

Liability of Lay It Up For Me!

You acknowledge the technical difficulty of engineering failsafe pre-sync software, and you agree that Lay It Up For Me! can give no, and that Lay It Up For Me! does not give any:

• guarantee that Lay It Up For Me! will work as desired on every (or substantially every) occasion; or
• warranty regarding:
       (i) suitability of Lay It Up For Me! for the uses to which you put it;
       (ii) compatibility of Lay It Up For Me! with any of the systems in conjunction with which you use them; or
• You warrant that you have not relied on any representation made by Lay It Up For Me! in relation to Lay It Up For Me! other than as expressly set out in these Terms and Conditions.

To the maximum extent permitted by applicable law Lay It Up For Me! will not be liable for any damages (whether in negligence, contract or otherwise and including, without limitation, special, punitive, incidental, indirect or consequential damages and damages for economic loss or loss of profit, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other pecuniary or other loss whatsoever) or any other remedy (whether in negligence, contract or otherwise) in any way related to Lay It Up For Me! or any maintenance or other services supplied by Lay It Up For Me! (or an agent or sub-contractor of Lay It Up For Me! ) in relation to Lay It Up For Me! or any material submitted through or altered by Lay It Up For Me! , regardless of any fault of Lay It Up For Me! (or an agent or sub-contractor of Lay It Up For Me! ) and even if Lay It Up For Me! has been advised of the possibility of such damages.

The entire risk arising out of use or performance of Lay It Up For Me! (including any alteration of material submitted through Lay It Up For Me! and any third party viruses or malicious code introduced during the processing within Lay It Up For Me! ) and any maintenance or other services supplied by Lay It Up For Me! (or an agent or sub-contractor of Lay It Up For Me! ) in relation to Lay It Up For Me! , remains with the Licensee.
